AKD assists the shareholders of CloudVPS

IT-Ernity Internet Services B.V. (IT-Ernity) acquired all the shares in the capital of XL Internet Services B.V. (CloudVPS) on 23 October 2014. The AKD team led by Carlos Pita Cao advise the selling shareholders and founders of CloudVPS.

CloudVPS started out as a hosting company in 2006 and has grown into a trendsetting and highly-skilled European cloud provider. CloudVPS Nederlands is also market leader in public cloud services. They have a team of expert software developers who are constantly developing new cloud-related technology and adding functionality to the cloud, including 'OpenStack' so enhancing their ability to serve their clients. CloudVPS is ISO 27001 and NEN 7510 certified and their clients include large-scale industrial companies, business services companies, government departments and teaching establishments throughout the Netherlands. They have booked a great deal of success in the financial and government markets where the cross-border protection of sensitive data is crucial.


IT-Ernity is part of the IT-Ernity Group, an international conglomerate of software companies financed with private equity oriented to managing internet services and providing hosting solutions to companies allowing them to increase their success. With over 200,000 registered domain names and over 100,000 hosting accounts, IT-Ernity is one of the Dutch market leaders in the internet services and hosting industry. Along with CloudVPS, the IT-Ernity Internet Services portfolio includes the hosting companies, DDS (De Digitale Stad), ProServe and Webstekker.


ProServe and CloudVPS been cooperative partners for some time and this transaction has served to further strengthen their cooperation. Clients of the IT-Ernity Group are now able to choose from a range of public, private and hybrid cloud solutions supported by the CloudVPS OpenStack team. It also opens up opportunities for CloudVPS' clients to use the IT-Ernity Group's private cloud and their managed connectivity services, in other words: the managers involved on both sides.


Given the funding structure opted for, the parties involved comprised not only the selling shareholders and It-Ernity but also the ING Bank N.V. and the ABN Amro Bank N.V.


Laura de Jong, Thomas van Hövell (Business Law, Rotterdam) and Marielle van Winden (Labour Law, Rotterdam) worked alongside Carlos Pita Cao to make up the AKD team.  Loyens & Loeff N.V. (Wil Martens) acted as tax advisor for CloudVPS and the selling shareholders.
