Our recent legal alert explained the exceptional measures for general meetings and board of directors meetings of companies and associations. These exceptional measures initially applied to any general meeting or board of directors meeting convened between 1 March 2020 and 3 May 2020.
Measures extended until 30 June 2020
By Royal Decree dated 28 April 2020, these exceptional measures have been extended until 30 June 2020, meaning that they apply to any general meeting or board of directors meeting convened between 1 March 2020 and 30 June 2020, even if the meeting is to be held after 30 June 2020.
Summarized, the measures include
• the possibility for the board of directors to impose on the shareholders / members to vote by correspondence or to vote by proxy and
• the possibility for the board of directors to take any decision by unanimous written resolution or to hold its meeting by videoconference.
